Indemnification

You agree to indemnify, defend and hold harmless Seven Musketeers Corporation, its subsidiaries and affiliates, its and their directors, officers, employees, agents, licensors, attorneys, independent contractors, providers (collectively, the "Indemnified Parties") from and against any and all losses, expenses, damages, demands or liabilities, including, without limitation, attorneys' fees and costs, incurred by the Indemnified Parties in connection with any claim, suit or other action by a third party (including any intellectual property claim) arising out of or based upon (i) materials and content you submit, post to or transmit through the Site, or (ii) your use of the Site in violation of this Agreement or in violation of any applicable law or regulation. You further agree that you will cooperate as reasonably required in the defense of any such claims. The Indemnified Parties reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any such claim or matter without the written consent of Seven Musketeers Corporation. You further agree to hold harmless the Indemnified Parties from any claim arising out of or based upon a third party¡¦s use of information or materials of any kind that you post in a Public Area.

General Provisions

Failure by Seven Musketeers Corporation to enforce any provision(s) of this Agreement shall not be construed as a waiver of any provision or right. This Agreement and all other aspects of your use of the Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws rules. All claims and disputes arising out of this Agreement, or your use of the Site, other than action for specific performance or injunctive relief brought by Seven Musketeers Corporation, shall be exclusively brought in the federal, state, or local courts located in Newburgh, NY, and, with regard to such claims and disputes, you hereby irrevocably (i) submit to the exercise of personal jurisdiction over you by those courts and (ii) waive any jurisdictional, venue, or inconvenient forum objections to such courts. This Agreement constitutes the entire agreement between you and Seven Musketeers Corporation with respect to the Site and your use thereof and supersedes all prior agreements or understandings, whether written or oral, between you and Seven Musketeers Corporation with respect to the Site and your use thereof. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of the Agreement shall remain in full force and effect. Not all products and services on this Site are available in all jurisdictions. If you are using this Site from outside of the United States, you are responsible for ensuring that your use of the Site is in compliance with the law of national jurisdiction.
